Welcome to Grovio. These Terms of Use ("Terms") govern your access to and use of our websites, applications, integrations, and AI-powered services (collectively, the "Services"). "Grovio" refers to Grovio Labs, Inc., a company incorporated in the State of Delaware, United States. By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, do not use Grovio.

1. Account & Eligibility

1.1 Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. Grovio is intended solely for professional and business use.

1.2 Security: You are responsible for maintaining the confidentiality of your account credentials. Grovio is not liable for any loss or damage resulting from unauthorized access due to your failure to protect your credentials.

1.3 Authority: If you access Grovio on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Acceptable Use

You agree not to:

  • Generate, publish or distribute unlawful, harmful or abusive content.
  • Violate the terms or policies of connected third-party platforms.
  • Reverse engineer, decompile, or attempt to extract the source code.
  • Scrape, harvest or collect data using unauthorized methods.
  • Resell, sublicense or white-label Grovio without written permission.
  • Abuse, overuse or exploit our infrastructure or APIs.

3. AI Services & Content

Grovio uses Artificial Intelligence to help you generate content.

3.1 Ownership: You retain ownership of the content you input into the services and outputs generated for you ("User Content"). You grant Grovio a limited license to process this content solely to provide the Services.

3.2 AI Disclaimer (The "Hallucination" Clause): AI outputs are probabilistic and may be inaccurate, incomplete or non-unique. You are responsible for reviewing and validating all AI-generated content before use.

3.3 Compliance Responsibility: You are solely responsible for ensuring that content generated or published using Grovio complies with applicable laws and platform rules.

3.4 No Model Training: Grovio does not use your proprietary content to train public, shared or general AI models.

3.5 Beta Features: Beta or experimental features are provided "as-is" and may be modified or discontinued at any time.

4. Third-Party Platforms and APIs

Grovio integrates with third-party social, content and community platforms.

  • General Compliance: Use of such integrations is subject to the respective platform's terms and policies. Violations of those terms through Grovio constitute violations of these Terms.
  • YouTube & Google: Grovio uses YouTube API Services. By using our Services to access YouTube content, you agree to be bound by the YouTube Terms of Service. You also acknowledge that your use of the Services is subject to Google's Privacy Policy.
  • Availability: Grovio does not guarantee uninterrupted access due to reliance on third-party APIs and services.

These obligations apply equally to all supported platforms, whether social networks, content platforms or community tools.

5. Payment & Subscriptions

  • Fees are charged according to your selected plan
  • Subscriptions automatically renew unless canceled
  • Payments are non-refundable except where required by law
  • You are responsible for applicable taxes and duties

6. Intellectual Property

All Grovio software, workflows, designs, and branding remain the exclusive property of Grovio. Feedback may be used without obligation or compensation.

7. Termination

We may suspend or terminate your access if you violate these Terms, pose a security risk, or fail to pay applicable fees. Upon termination, your right to use the Services ends immediately.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROVIO'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold Grovio harmless from claims arising from your use of the Services, User Content, or violation of these Terms.

11. General Provisions

11.1 Governing Law:

These Terms are governed by the laws of the State of Delaware, United States.

11.2 Dispute Resolution:

Disputes shall be resolved through binding arbitration in Newark, Delaware.

11.3 Data Processing Addendum:

A Data Processing Addendum is available for enterprise customers where required under applicable laws.

11.4 Privacy Policy:

Your use of the Services is governed by our Privacy Policy.

11.5 Global Applicability:

These Terms apply globally. Certain rights may vary depending on your country of residence.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
